This agreement governs your use of any ShapeCard credit card issued to you. Read it carefully and save a copy for your records.
By signing, activating, or using the Card, you agree to this Agreement, the Privacy Policy, and the Electronic Communications Agreement. If you do not agree, you must not use the Card and you must close the Account by contacting support. Use of the Card constitutes your continuing agreement to these terms, including any modifications made in accordance with Section 12.
The Card may be used to purchase goods and services from any merchant that accepts the card network's credit cards, subject to the spending rules you and any Approver have configured. The Card is not transferable. You must not use the Card for any illegal purpose or for any transaction prohibited by the network or the Issuing Bank.
ShapeCard may decline any transaction that violates a configured spending rule, exceeds the available credit line, or is flagged as fraudulent. When real-time approvals are enabled, ShapeCard may pause authorization for up to thirty (30) seconds to obtain Approver consent; if the Approver does not respond in that window, the configured fallback outcome applies.
You may configure spending rules including per-transaction caps, per-day caps, category restrictions, time-of-day windows, country allowlists, and a list of categories that require Approver review. When you grant an Approver authority over the Account, that Approver may edit spending rules and respond to escalated transactions.
You remain primarily responsible for all charges made on the Card. Approver authority does not transfer liability for amounts owed to the Issuing Bank. Disputes between you and your Approver about whether a specific transaction should have been approved are between you and the Approver — ShapeCard is not a party to that dispute.
The Annual Percentage Rate (APR) for purchases is [APR PURCHASES]%. The APR for cash advances is [APR CASH]%. Both rates are variable and may change in accordance with the Truth in Lending Act and the underlying program agreement with the Issuing Bank.
Standard fees: annual fee [FEE ANNUAL]; late payment fee up to [FEE LATE]; returned payment fee [FEE RETURNED]; foreign transaction fee [FEE FX]% of each transaction in a non-USD currency. A full fee schedule is available in your monthly billing statement.
Your credit line is set by the Issuing Bank based on your application and ongoing creditworthiness. The Issuing Bank may increase or decrease your credit line at any time and will notify you of material decreases.
You will receive a billing statement at least [BILLING DAYS] days before the payment due date. The statement will list all transactions during the billing cycle, the new balance, the minimum payment due, and the payment due date.
You must pay at least the minimum payment by the due date. Payments may be made through the ShapeCard portal's funding flow or any other method the Issuing Bank makes available. Late or missed payments may result in late fees, increased APR, and reporting to consumer credit bureaus.
Your liability for unauthorized use of the Card is limited to $[LIABILITY CAP] under federal law (15 U.S.C. § 1643). You are not liable for unauthorized charges that occur after you notify ShapeCard or the Issuing Bank that the Card has been lost, stolen, or compromised.
To report an unauthorized transaction or a lost or stolen Card, sign in at /portal and open a support ticket, or contact support@shapecard.ai. You should also pause the Card from the portal as soon as possible to prevent further charges.
If you have a dispute with a merchant about a transaction, you must first attempt to resolve it directly with the merchant. If the dispute is not resolved, you may file a chargeback request through ShapeCard support. The Issuing Bank will investigate consistent with the Fair Credit Billing Act (15 U.S.C. § 1666). You must notify us in writing of any billing error within sixty (60) days of the statement on which the error first appeared.
You will be in default if you fail to make a required payment by its due date, exceed your credit line, file for bankruptcy, become deceased or legally incapacitated, or violate any term of this Agreement. On default, the Issuing Bank may, to the extent permitted by applicable law, accelerate the balance due, suspend or close the Account, increase the APR, and report the default to consumer credit bureaus.
You may close the Account at any time by submitting a closure request through the portal at /portal/settings or by contacting support. Closure is final once the outstanding balance is paid and any pending transactions settle. ShapeCard and the Issuing Bank may also close or suspend the Account, with notice required by applicable law, if you are in default or if continued service would violate law or network rules.
Your use of the Card is subject to ShapeCard's Privacy Policy and Electronic Communications Agreement. You consent to receive communications about your Account electronically, including transaction notifications, statements, and Approver-consent prompts. You may withdraw consent for non-required communications at any time through the portal.
ShapeCard and the Issuing Bank may change the terms of this Agreement, including pricing, fees, and credit terms, in accordance with applicable law. You will receive notice of material changes by email or in-portal notification at least the minimum notice period required by law before the change takes effect. Continued use of the Card after the effective date constitutes acceptance of the change.
[TO BE FINALIZED WITH COUNSEL] — This section will contain the binding arbitration provision and class-action waiver consistent with the issuing bank's program agreement. It will also describe the procedure for opting out of arbitration within the statutory window after Account opening. Do not deploy this Agreement publicly without finalizing this section.
This Agreement is governed by federal law and the laws of the state in which the Issuing Bank has its principal place of business, without regard to that state's conflict-of-laws rules. Disputes that are not subject to arbitration will be resolved exclusively in the courts of that state.
